By accessing or using the VisionLive platform ("Platform"), operated by Aegis Vision LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform. These Terms apply to all users, including dispatchers, clinicians, administrators, and facility personnel.
VisionLive is a real-time operational coordination platform designed for mobile healthcare teams. The Platform provides dispatchers, clinicians, and facility staff with a shared view of orders, estimated arrival times, and clinician status. VisionLive is a read-and-display layer intended to supplement, not replace, existing dispatch and order management systems.
The Platform is designed and operated without the use of Protected Health Information ("PHI") as defined under the Health Insurance Portability and Accountability Act ("HIPAA"). VisionLive uses order numbers and facility names as operational identifiers only. No patient names, medical record numbers, diagnosis codes, clinical notes, or other PHI are entered into, stored by, or transmitted through the Platform. You agree not to input PHI into the Platform under any circumstances. In its current form, VisionLive is designed to operate without PHI. Future versions may include PHI-handling capabilities, which will be governed by updated terms and appropriate compliance frameworks at that time.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these Terms.
All software, designs, content, workflows, and documentation comprising the Platform are the exclusive property of Aegis Vision LLC and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Platform solely for your internal business operations. No ownership rights are transferred to you under these Terms.
To the maximum extent permitted by applicable law, Aegis Vision LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Platform. The Platform is provided to support operational visibility. All operational decisions, including order assignments, clinician dispatch, and patient care decisions, remain solely the responsibility of the user. Our total liability for any claim arising under these Terms shall not exceed the amounts paid by you to us in the three months preceding the claim.
The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
You agree to indemnify, defend, and hold harmless Aegis Vision LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in connection with your use of the Platform or your violation of these Terms.
We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last Updated" date above and, where appropriate, notifying users directly. Continued use of the Platform following any modification constitutes your acceptance of the revised Terms.
We may suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice. You may terminate your account at any time by contacting us. Upon termination, your right to use the Platform will immediately cease.
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Texas.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining Terms shall otherwise remain in full force and effect.
